Articles of Incorporation

Articles of Incorporation (or Certificate of Incorporation) is the formal document filed with the state to legally create a corporation. It specifies the corporation's name, purpose, registered agent, authorized shares, and incorporator's information. Filing fees range from $50 to $500+ depending on the state — Delaware ($89), New York ($125), Wyoming ($100). For LLCs, the equivalent document is called Articles of Organization or Certificate of Formation. The filing creates the legal entity, which then needs an EIN, bank account, and operating agreement to begin operations.
